Warranties
Blakeworth Management, LLC and Southlight Properties (“Southlight Properties”, “we”, “us”) services are provided without any warranties, express or implied. Any warranty implied by statute or law is excluded to the maximum extent permitted.

Confidentiality
Both parties, Southlight Properties and the client, assume the responsibility of complete confidentiality at all times. They will not disclose or permit the disclosure of any confidential information, including, but not limited to, property details, financial information, market analysis, strategies, ideas, or data to a third party without prior written consent, excluding information in the public domain. Southlight Properties is permitted to publish the status of engagement with the client on the company's website and any other assets belonging to the company.Southlight Properties may, at any time, request a reference from the client. The client agrees to share their experience as a client of Southlight Properties with a potential client of the company if requested. Southlight Properties may also publish case studies describing property transactions or market analysis if written consent is given by the client.

Liability
Southlight Properties will provide its services to you in a professional and diligent manner. Under no circumstances is Southlight Properties or its employees, officers, directors, or affiliates liable for any losses due to delay in service deliverables, where the delay is because of unforeseen, natural, or ungovernable causes.Southlight Properties will not be liable to you for indirect, consequential, exemplary, punitive, or special liability under the law of contract, torts, or otherwise. Losses include, but are not limited to, loss of property value, rental income, profits, reputation, licenses, and customer satisfaction. If you are advised on potential losses, the limitations of liability still apply.

Indemnification
The client agrees to indemnify and hold Southlight Properties, its officers, employees, affiliates, and agents harmless from any claims, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to any breach of these Terms and Conditions, misuse of services, or violation of any applicable laws or regulations.

Severability
If any provision is deemed by a court or other competent authority invalid, unlawful, or for any other reason unenforceable under applicable law, it shall be deemed severable and will not impact or affect the validity or enforceability of the remaining provisions. Any invalid, unlawful, or unenforceable provisions will be deemed as such and deleted, and the rest of the provisions will continue to remain in effect.

Force Majeure
Southlight Properties shall not be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, strikes, pandemics, government actions, or failure of suppliers, subcontractors, or third-party service providers.

Governing Law and Jurisdiction
These Terms and Conditions will be governed by and construed in accordance with the laws of the state where Southlight Properties is located. Any disputes between the client and Southlight Properties will be subject to the non-exclusive jurisdiction of the state and federal courts located in that jurisdiction for the resolution of any aforementioned disputes.

Amendments and Modifications
Southlight Properties reserves the right to modify or update these Terms and Conditions at any time. The latest version will be posted on our website, and continued use of our services constitutes acceptance of any modifications. It is the client’s responsibility to review these terms periodically.

Entire Agreement
These Terms and Conditions, the attached Service Level Agreement (SLA), The Scope Of Work, along with any other legal notices or disclaimers posted, constitute the entire agreement between you and Southlight Properties. The most current version supersedes all previous agreements.Accepting this agreement constitutes your formal acceptance of all updated Terms and Conditions, Service Level Agreements, Scope of Work documents, along with any other legal notices or disclaimers posted, and it is up to you to monitor and check for updates. Should you change your mind and object to any of the provisions, we ask that you contact your account manager.
